On December 22, 1988, the commercial and service company "Stalprofil" sp. z o.o. was established, with the following companies as its shareholders in the first phase of operations:

  • Kombinat Metalurgiczny "Huta Katowice" in Dąbrowa Górnicza,
  • Przedsiębiorstwo Państwowe Obrotu Wyrobami Hutniczymi "Centrostal" in Katowice,
  • SNZZ Pracowników "Huty Katowice",
  • Huta "Jedność" in Siemianowice Śląskie,
  • Huta "Andrzej" in Zawadzkie,
  • Huta "Cedler" in Sosnowiec.

STALPROFIL has specialized in steel products trading since the very beginning of its activity.

In 1998 the Extraordinary General Shareholders’ Meeting resolved to transform PHU "Stalprofil" sp. z o.o. into a public limited company and to increase its share capital. At that time, the shareholders of the company were the following:

  • "Huta Katowice" in Dąbrowa Górnicza,
  • Trade Union of Employees of Huta Katowice SA,
  • Trade Union "Solidarity" of Huta Katowice SA.

A breakthrough in the evolution of property and capital structure of the company was the public issue of 800,000 shares, series “C”, and company’s debut in the open market of the Warsaw Stock Exchange. All the funds from the issue of shares were allocated to working capital, which stimulated the revenues and profits generated by the company. Transformation of STALPROFIL into a public company strengthened its market position and helped create the Company’s image as a solid and stable business partner.

Significant capital expenditure and implementation of the Quality Management System in compliance with ISO 9001:2008 standard facilitated the widening of sales offer and provision of high quality services. Capital spending in the following years resulted in ownership transformations as the Company became the owner of the leased property, adapted and extended administration buildings, carried out maintenance works, upgraded and extended warehouse bays, provided roofing for the yards and equipped the yards with reloading equipment. Another development important for customer service was organization of the service center, with the launch of the coil cutting line and sections cutting line.

In order to implement the activity diversification strategy, STALPROFIL started to build Stalprofil SA Capital Group. In 2005 STALPROFIL took over IZOSTAL, manufacturer of insulated and polyurethane pipes and tubes, and in 2006 STALPROFIL acquired ZRUG Zabrze (STALPROFIL SA Branch in Zabrze since 01.12.2016), infrastructural investments contractor, using pipes and tubes produced by IZOSTAL for the construction of gas and water transmission pipelines. In 2008 Stalprofil SA Capital Group took over KOLB, manufacturer of steel structures.

In 2016, there was a significant change in the structure of the Capital Group, as a result of which the merger of companies from the Group, ie: STALPROFIL S.A. based in Dąbrowa Górnicza (Acquiring Company) and ZRUG Zabrze S.A. based in Zabrze (the Acquired Company), by transferring to STALPROFIL S.A., as the sole shareholder, all ZRUG Zabrze S.A. assets, in a simplified manner and without increasing the share capital of STALPROFIL S.A., ie pursuant to art. 492 §1 point 1), art. 515 §1 and 516 §6 of the Code of Commercial Companies and on the terms specified in the Merger Plan of 29 July 2016.

On 1 December 2016, the District Court in Katowice, 8th Commercial Division, made an entry of the merger of the above companies in the Register of Entrepreneurs of the National Court Register.

The aim of the merger of STALPROFIL S.A. and ZRUG Zabrze S.A. was to use the potential of the combined companies more effectively and to achieve economic and financial effects of direct and indirect synergy, including, among others, reduction of operating costs, more efficient use of assets of the merged companies, better allocation of cash and more rational financial flows.
