Purchase of ZRUG Zabrze S.A. shares from IZOSTAL S.A.

With reference to the current report 17/2016 dated 05.07.2016, the Management Board of STALPROFIL S.A. informs that on 07.07.2016, between STALPROFIL S.A. (Buyer) and IZOSTAL S.A. of Kolonowskie (Seller) has been concluded an agreement on purchase of shares of ZRUG Zabrze S.A. seated in Zabrze, ul. Magazynowa 6.
The subject of the agreement is purchase by STALPROFIL S.A. from IZOSTAL SA of 5,000,000 ordinary registered shares of series D with numbers from 0000001 to 5000000, with a nominal value of 2.00 PLN each, of the company ZRUG Zabrze S.A. for the total price of PLN 10,000,000.00.
The stake of ZRUG Zabrze S.A., acquired by the Buyer, represents 37.11% of the share capital and 31.06% of voting rights at the General Meeting of ZRUG Zabrze S.A.
After the purchase STALPROFIL S.A. holds 100% of the share capital of ZRUG Zabrze S.A., which at the planned incorporation of ZRUG Zabrze S.A. to Stalprofil entitles to use the simplified procedure under art. 516 of the Code of Commercial Companies.
STALPROFIL S.A. is the parent company of IZOSTAL S.A. and holds in the company 60.28% of the share capital and the same proportion of votes the General Meeting.
