Annex to the agreement between the subsidiary ZRUG Zabrze SA and OGP Gaz-System SA
In reference to the current report no. 13/2012 Board of Stalprofil SA announces that on 16 November 2012, a subsidiary of ZRUG Zabrze SA as the leader of a consortium of companies, composed of ZRUG Zabrze SA located in Zabrze (consortium leader), Stalprofil SA in Dąbrowa Górnicza (consortium member) and Nafta-Gaz-Serwis SA in Sanok (consortium member), on behalf of the consortium signed a contract with the Gas Transmission Operator GAZ-SYSTEM SA with its seat in Warsaw (Employer) annex to the Agreement of 10 May 2012 on the general implementation of the investment under the name "construction of the pipeline DN 700 Szczecin-Gdańsk: Phase II Karlino-Koszalin, Phase III - Koszalin-Słupsk and Stage IV Słupsk-Wiczlino"
The object of the said annex is to change (extend) the deadline for completion (final acceptance) of investments until 02.02.2014 inclusive. The original deadline for the final acceptance has been defined in the agreement until 28.09.2013. The Parties also agreed to annex the node Reszki due date, which is in the implementation of Phase IV, until 28.06.2013.
According to the current report no. 13/2012 in order to secure the claims of the Employer in respect of non-performance or improper performance of the Contract, the Contractor has lodged the security performance of the Agreement, in the amount of 10% of the total gross payment in the form of insurance guarantee issued at the request of Stalprofil SA for all members of the consortium. Contractor has given the guarantee of quality and warranty on the performance of the Agreement for a period ending 36 months after the end of each stage. Purchaser to secure claims under the guarantee of quality and warranties made by a security equal to 3% of the total gross remuneration in the form of insurance guarantee issued at the request of Stalprofil SA, all members of the consortium.
In connection with the extension of the term of the contract, at the request of Stalprofil SA Towarzstwo Ubezpieczeń Euler Hermes SA extended the term of the abovr mentioned warranty (up to 4 March 2014 in connection with claims for non-performance or improper performance of the contract and up to 17 February 2017 for warranty claims).
The agreement meets the criterion of a significant agreement because its value exceeds 10% of the equity of the issuer.
