Purchase of shares of ZRUG Zabrze SA from PGNiG SA
On 20 June 2013 Stalprofil SA (Buyer) has entered into a share sale agreement with Polskie Górnictwo Naftowe i Gazownictwo S.A. (Seller), whose purpose is the acquisition by Stalprofil SA from PGNiG SA of 300 000 registered shares of ZRUG Zabrze SA with a par value of 2 PLN, at a price equal to their nominal value, ie PLN 600,000.
Transfer by the Seller to the Buyer\'s of the ownership of the shares at the moment of payment made by the Buyer and the Buyer issue of the collective action together with a statement of Seller to transfer to Buyer under of their rights and obligations.
Shares subject to the agreement equal 5.02% of the share capital of ZRUG Zabrze SA and after the acquisition Stalprofil SA will hold 100% of the shares of the company.
ZRUG Zabrze SA core business are infrastructure construction services, mainly construction gas transmission pipelines. In the first quarter of 2013 ZRUG Zabrze SA recorded 48.5 million in revenue and net profit of 0.7 million.
