Registration of merger of Stalprofil SA and Stalprofil Finanse sp. z o.o.
On July 18, 2013, the Management Board of Stalprofil SA was informed about the entry in the National Court Register - Register of Entrepreneurs of the merger Stalprofil SA (the acquiring company) and its Stalprofil Finanse sp. z o.o. (Acquired Company ). Entry was made by the District Court in Katowice, VIII Commercial Division of the National Court Register dated 12 July 2013.
The merger was effected pursuant to Resolution No. 21 of the Annual General Meeting Stalprofil SA dated 12 June 2013 and on the basis of Art. 492 § 1. 1 of the Commercial Companies Code, ie the transfer of all assets of the Target Company to the Acquirer. In view of the fact that the acquiring company is the sole shareholder of the Target Company, the merger was simplified procedure, in accordance with Art. 516, § 6 of the CCC, without increasing the share capital and no exchange of shares for shares Stalprofil Finanse Stalprofil SA

The principal activities of Stalprofil SA is a wholesale trade in steel products. Sales of steel products, both domestic and foreign company is to own two commercial warehouses located in Katowice-Panewniki and Dąbrowa Górnicza. Stalprofil SA acts as the parent company of three subsidiaries through which diversifies its core business. Stalprofil SA Capital Group operates in the trading and processing of steel and in the segment of gas transmission network infrastructure.
- Stalprofil Finanse sp. z o.o., based in Dąbrowa Górnicza, ul. Roździeńskiego 11a, entered in the National Court Register kept by the District Court Katowice-East under the number KRS 0000428923.
The principal activities of Stalprofil Finanse sp. z o.o. is the "Other financial services nec, except insurance and pension funding", which the company had to provide services primarily to companies in the Group Stalprofil SA. The main asset of the company Stalprofil Finanse sp z o.o. is brought to her in kind by Stalprofil SA, the entire shareholding Izostal in the number of 19,739,000 units.
