Annex to the agreement with the OGP Gaz-System SA for the construction of the pipeline DN 700 Szczecin-Gdańsk, Phase II-IV
With reference to current reports RB 13/2012 and 29/2012 the Board of Stalprofil SA informs that on July 25, 2013, it received information at the back signed by Operator Gazociągów Przesyłowych GAZ-SYSTEM SA with its seat in Warsaw annex to the agreement of 10 May 2012, concluded between the consortium of companies (Contractor), composed of ZRUG Zabrze SA, as the consortium leader and Stalprofil SA (consortium member), Nafta Gas Service SA in Sanok (consortium member) of Gaz-System SA with its registered seat in Warsaw (the Employer), a general realization of investments under the name "Construction of the pipeline DN 700 Szczecin-Gdańsk: Phase II Karlino-Koszalin, Koszalin Stage III - Slupsk and Stage IV Slupsk Wiczlino".
The subject of that annex is change (prolongation) period of implementation (of the final) investments until 30.06.2014 or less, which was originally defined until 02.02.2014. Deadline for completion of the contract was changed due to unforeseen conditions in the tender documents and archeological field, extending the period of trials and the recognition of welding technology, and because of the impossibility of filling the system by ordering the terms agreed with the Contractor.
As a result of the annex also saw a change of economic agreements in connection with the withdrawal from the Agreement, one of the members of the consortium - Nafta Gas Service SA in liquidation. Thus, the contract will be carried out by a consortium composed of ZRUG Zabrze SA as the leader of the consortium and Stalprofil SA (consortium member). The scope of works for Stage II and IV of the contract to be executed by the appearing of the consortium implementing the company Nafta Gas Service SA a par value PLN 55 847 thousand was taken to be executed by ZRUG Zabrze SA, as issuer in the current reports 7/2013 and 8/2013. As a result of the acquisition performance of the works by ZRUG Zabrze SA estimated by the leader of the consortium contract, realized profitability will improve.
The agreement with OGP Gaz-System SA meets the criterion of a significant agreement because it exceeds 10% of the equity of the issuer.
