Conclusion of trade agreements with ArcelorMittal Commercial Sections S.A.
On 17 September 2013 Stalprofil SA (receiver) has received confirmation of complex commercial contracts from ArcelorMittal Commercial Sections SA, based in Luxembourg (the supplier), the supply of steel products manufactured by mills owned by the ArcelorMittal Group, and thus concluded further purchases of steel products with a value of 31 421 thousand PLN.
As a result of the conclusion of the transaction, the total value of contracts concluded by Stalprofil SA with ArcelorMittal Group entities from 25 July 2013 (from the date of publication of the current report RB 28/2013) exceeded 10% of its equity and amounted to 53 783 thousand PLN. Group ArcelorMittal is the largest steel producer in the world, as well as in Poland, and at the same time is a major supplier of steel products for Stalprofil SA.
The highest value in the above mentioned period between the parties is the above-mentioned transaction of purchase of steel products (orders confirmed by the supplier) signed in September 2013 on the value of 31 421 thousand PLN and on the supply of steel products manufactured by ArcelorMittal Ostrava AS, based in Ostrava, ArcelorMittal SA Bergara in Bergara, ArcelorMittal Esch-Belval, Differdange, Luxembourg Rodange and ArcelorMittal Poland SA based in Dąbrowa Górnicza. These deliveries will be carried out to Stalprofil SA in September 2013.
Terms of the transaction in question do not provide for penalties and do not differ from those commonly used for this type of trade agreements.
Purchases of steel contained with the contractor meet the criterion of a significant agreement because their total value exceeds 10% of the equity of the issuer.
