Signing of an annex to the loan agreement with PKO BP SA
On 30.01.2013 the Board of Stalprofil SA learned about signing by PKO BP SA based in Warsaw, of an annex to the credit agreement in the form of multi-purpose credit limit, concluded between the Bank and Stalprofil SA. The annex increases the total current value of the credit limit granted by PKO BP SA from 45 million to 75 million PLN.
The increase of the Company\'s total multi-purpose credit limit by 30 million PLN was made to increase the limit for use on bank guarantees. This year Stalprofil SA plans to increase the limit on the use of bank guarantees, mainly due to OGP Gaz-System SA guarantees the repayment of payments received on account of the works on the construction of the Szczecin-Gdańsk Stage II to IV. These advances depending on the progress of work will be transferred successively by OGP Gaz-System SA on the company\'s subsidiary ZRUG Zabrze SA, as the leader of a consortium of companies involved in this investment. Participant in the consortium is also Stalprofil SA.
As a result of increasing the amount of available credit limit was increased the amount of collateral for loans, by increasing the amount of the mortgage security in the amount of 25 million to 35 million PLN, set up for the bank, on the property located in Katowice, ul. Owsiana 60, which is a part of the Company\'s business. Gross book value of the property on which the mortgage was established, shown in the accounts of the Company as of 31 December 2012, was 30,615,383 PLN.
Basic conditions of the loan agreement, including collateral, remain unchanged compared to those described in the current report No. 40/2009. Pursuant to the credit agreement with PKO BP SA and annexes thereto included in the period to 15 April 2014, Stalprofil SA in addition to the increased limit for bank guarantees under the existing conditions may benefit from the following banking products: overdraft, revolving credit and letters of credit.
The agreement meets the criterion of a significant agreement because its total value exceeds 10% of the equity of the issuer.
