Commercial transaction with the subsidiary Izostal SA

On 14 February 2013 Stalprofil SA (Seller) has entered into a commercial transaction with its subsidiary Izostal SA (Buyer) based in Zawadzkie, the subject of which is the sale of steel products (steel pipes) by Stalprofil SA to Izostal company.
The total value of transactions concluded by Stalprofil SA with the contractor during the period from 04.02.2012, that is from the date of publication of the current report no. 4/2012, exceeded 10% of the equity of the Company and amounted to 59 012 thousand PLN (net).
The highest value transaction contained in the period between the parties is the sales transaction concluded on 30 January 2013, under which Stalprofil SA will provide Izostal steel products (steel pipe) by 31 May 2013 with a value of about 5 855 thousand EUR (net), which at the average exchange rate prevailing on the date of the contract is approximately 24 572 thousand PLN (net).
Terms of the transaction in question do not provide for penalties and do not differ from those commonly used for this type of agreement.
The agreement meets all the criterion of a significant agreement because its total value exceeds 10% of the equity of the issuer.
