Acquisition by STALPROFIL S.A. of a stake in PROMA sp. z o.o.

The Management Board of STALPROFIL S.A. (hereinafter referred to as the Company) hereby announces that on January 14, 2026, a SHARE SALE AGREEMENT was concluded between STALPROFIL S.A. and IZOSTAL S.A., the subject of which is the acquisition by STALPROFIL S.A. from IZOSTAL S.A. of 320 shares in PROMA Sp. z o.o. with its registered office in Zawadzkie (hereinafter referred to as PROMA), representing a 40% share in the share capital of PROMA and 40% of votes in this company, for a total price of PLN 9,320,000.00 (nine million three hundred twenty thousand zlotys).

The unit purchase price for the shares in PROMA specified in the AGREEMENT (PLN 29,125 per share) is equal to the price at which these shares were acquired by IZOSTAL S.A. from the original PROMA shareholders on December 2, 2025.

By leveraging the natural liquidity differences existing within the Group's companies, the transaction will optimize its overall debt capital requirements.

The Company considers the purchase of a 40% stake in PROMA to be a long-term capital investment. Following the aforementioned transaction, 100% of PROMA shares remain in the possession of companies belonging to the STALPROFIL S.A. Capital Group.
