Trade transactions with entities of the ArcelorMittal Group
On 18 February 2013 Stalprofil SA (recipient) received confirmation of trade orders placed by ArcelorMittal Commercial Sections SA based in Luxembourg (supplier), for the supply of steel products produced by ArcelorMittal Ostrava AS based in Ostrava, ArcelorMittal Bergara SA based in Bergara, ArcelorMittal Olaberria S.L. based in Olaberria and ArcelorMittal Poland SA based in Dąbrowa Górnicza and thus entered into subsequent purchases of steel products from ArcelorMittal Group entities for a total value of 10 884 thousand PLN.
Following completion of these transactions total value of tranactions concluded by Stalprofil SA with entities of the ArcelorMittal Group since 14 November 2012 (the date of the current report 28/2012) exceeded 10% of the equity of the Company and amounted to 36 430 thousand PLN. ArcelorMittal Group is the largest steel producer in the world, as well as in Poland, and at the same time is the major supplier of steel products for Stalprofil SA.
The highest value transaction in the above-mentioned period was purchase of steel products (orders confirmed by the supplier) concluded in January 2013, the value of PLN 7 456 thousand for delivery of steel produced by ArcelorMittal Poland SA in January.
Terms of the transactions do not provide for penalties and do not differ from those commonly used for this type of trade agreements.
The transactions meet all of the criteria of a significant agreement because their total value exceeds 10% of the equity of the issuer.
